The Managers or Board of Directors of amends the Pecan Milk Co-op, LLC (GA 2014) operating agreement.
Article 3 Governance & Management, 3.7 Conflict Resolution and Evaluations, 3.7.1. Transformative Process shall read,
"3.7.1. Transformative Process. Managers shall establish a consistent process to resolve conflict, streamline task management and evaluate member and business performance. The process shall seek solutions and precedes suspension or expulsion."
The former reading, "
3.7.1. Transformative Process . Persons from the rotating list of facilitators , notetakers and
timekeepers compose a conflict resolution team of three persons in the event of a value or
agreement violation, difficulty deciding which Members are eligible to reach a specific
decision, or any conflict.
The Transformative Process is voluntary. Participants can request a different team
from the rotating list of facilitators, notetakers and timekeepers be composed to
conduct the Transformative Process, especially to avoid bias.
Each party involved in the conflict, will have an opportunity to discuss the issue with the team.
The team will then analyze four aspects of the conflict: (1) concern of seriousness, (2)
likeliness to recur, (3) the opportunity to repair the root cause of the issue, and (4) the
capacity of the group to impact the conflict.
The three person team will then agree on a strategy to: (1) mend the relationships involved,
(2) address the root cause of the issue, (3) set standards for upholding the values and
agreements, and (4) monitor the process with the leverage of the entire co-op.
Every three months, especially corresponding to the middle and conclusion of
member-owners’ six month contracts, all worker-owners are subject to a voluntary
performance evaluation. The same rotating list of facilitators, notetakers and
timekeepers determines the team conducting the evaluation. They are to make one
report assessing performance and a second report for recommendations.
Assigned tasks shall be evaluated by worker-owners that worked on the same specific
task. When there are no other members to evaluate a task, a team from the rotating list
of facilitators, notetakers and timekeepers can evaluate the task."
