Changing a Newco. Model constitution into a fairshares model Closed Fri 17 Mar 2017 12:02PM

weve been collaborating with social enterprise europe for some time now, in fact we set up a newco model a few years ago. canute Ltd. this is registered at companies house in the Uk; we created three types of shares in Canute Ltd. Founder shares, Employee shares and stakeholder shares (A,B and C shares) you can doubtless see the evolution of the fairshares here? i now want to update the constitution ofCanute Ltd. to reflect its new constitution, which will be a fair shares model constitution. whats the most efficient way of achieving this aim? Is there a model Constitution that can be copied across to the paper work thatll need to go to companies house? Advice please?

Stephen - you can generate a new constitution using a new rules generator at:

https://sites.google.com/view/fairsharesrules

You can generate a new Company constitution for a UK company, but you will need a Google/Gmail account.

Rory I had a look at the rules generator:because Canute Ltd, was registered as a Newco using the SEASY model at the time many of the fields requiring completion are already done for eg we have 100 shares and 3 eligible groups for shareholding( and voting) Do I complete the rules generator as though none of this had been decided and start afresh
Changing only the objects and articles that need attention?

Hi Stephen and Rory, sorry I have been distracted by other adventures but I fully support the idea of moving Canute on from the NewCo to a FairShares company. Setting up NewCos in the SEASY project was a small part of the journey towards FairShares and I was grateful for Steve to be one of the few people who adopted the new model and contributed to our experience. But a FairShares model would now suit better and its interesting to see the process of change - thanks again Steve for your interest in all this
