The 501(c)3 paperwork finally came in.

So the paperwork came in, and there is officially a Code for Miami, Inc. 501(c)3 organization. Unfortunately, a lot of this has come too late, as my current duties prohibit being able to spend a significant amount of time for this. We also don't necessarily have a bank account specific set for CFM although that is easy enough to create, and we do have some budget from our work with Knight Foundation through CUTGroup Miami.

What I'm thinking about is selecting an Executive Director that can carry over this stuff, attract board members, fundraise (if necessary) and execute programs and things of that nature. Do people have thoughts about this?

That is great news! I would like to put my name in the hat for Executive Director. I've been the main point of contact with CFA and they have been making a strong push for brigades to be under their organization this past year. Currently we are under their organization (for various reasons) and would need to update that with them.

Has the a question of whether CfM should be a 501c3 or stay under CfA been decided already? As I recall, CfA just wasn't providing a lot of support when this paperwork was set in motion. But CfA then claimed late last year that they were going to start doing things that groups needed. I don't know if they've delivered on that satisfactorily. But reading Jules comment I got confused.

That's a good question. @juleskramer? @danielleungermann? I know that brigades that stay under CfA now get a stipend, which was reverse from when I was a captain w/ Cristina.

@gregbloom that has not been decided yet, but as of right now we are under CFA. I would like to discuss with the group the pro's and con's of it.

So (and correct me if I'm wrong, i could have missed some threads or a meeting or something) it seems like this conversation should start there, at the question of organizational structure, before we get into directors and boards and whatnot.

Also worth noting that Loomio is a tool for decision-making processes, but it's not in-and-of-itself a decision-making process. For big decisions like this, we might need to first decide who decides, and how we decide.

So possible options include:
- A group vote
- Legally, the 501(c)3 is under my name, with @cristinasolana and Rebekah Monson has board members. We needed to enter something when it came time to create the paperwork.
- Current brigade leaders
- Some combination of the above

Am I missing anything? Do we have thoughts about this?

Sounds like a process could be: proposals here > open group discussion > decision by some combination of board members and current brigade leaders.
